📋 Terms of Service

1. Definitions

• "Platform": the INeedYou website (ineedyou.io) and all associated services.
• "We" / "INeedYou": IT.AR Multi Service LLC, operator of the platform.
• "User": any person who accesses or uses the platform.
• "Client": registered user who seeks and hires services.
• "Provider": independent professional registered to offer services.
• "Service": any work, task, or professional activity offered by a Provider.
• "Content": text, images, files, messages, and any other material posted by users.

2. Nature of the Platform

INeedYou is not an employer of Providers. Providers are independent contractors who offer their services through the platform. INeedYou does not direct, supervise, control, or guarantee the quality, legality, safety, or outcome of any service.

INeedYou does not verify licenses, certifications, insurance, or criminal backgrounds of Providers. It is the Client's responsibility to verify the Provider's credentials before hiring their services.

3. User Accounts

To use the platform you must be at least 18 years old and have legal capacity to enter into contracts. By registering, you confirm that the information provided is truthful, accurate, and complete.

You are responsible for maintaining the confidentiality of your password and for all activities that occur on your account. Notify us immediately if you suspect unauthorized access to your account.

Each person may have only one account. Accounts are personal and non-transferable.

4. Client Obligations

As a Client, you agree to:

• Use the platform in good faith and for legitimate purposes.
• Communicate respectfully and professionally with Providers.
• Provide accurate information about your needs and location when requesting services.
• Verify the Provider's credentials, licenses, and insurance before hiring.
• Agree on and pay the Provider directly according to terms agreed between both parties.
• Not request or accept that Providers perform illegal or dangerous work.
• Leave honest and accurate reviews based on real experiences.

5. Provider Obligations

As a Provider, you agree to:

• Provide truthful and up-to-date information in your profile, including rates, services, and availability.
• Comply with all laws, regulations, and rules applicable to your professional activity.
• Maintain the licenses, permits, and insurance necessary to perform your services.
• Respond in a timely manner to booking requests and messages.
• Provide services with professionalism, competence, and honesty.
• Agree on payment terms directly with the Client and charge transparently.
• Declare and pay applicable taxes on income earned through the platform.
• Not publish false, misleading, or exaggerated information in your profile.

Failure to comply with these obligations may result in the suspension or permanent deletion of your account without refund of subscription fees.

6. Payments & Subscriptions

Provider subscriptions:

Providers must subscribe to maintain an active profile. Plans are charged through Stripe. Subscriptions auto-renew at the end of each period unless cancelled beforehand.

Refunds:

Subscription fees are non-refundable, except where required by applicable law. If you cancel your subscription, your profile remains active until the end of the paid period.

Payments between users:

INeedYou does not process or facilitate payments between Clients and Providers. All payment agreements, including amount, method, and conditions, are the sole responsibility of the parties. INeedYou is not responsible for payment disputes between users.

7. Services Between Parties

INeedYou does not guarantee the availability, quality, safety, legality, or outcome of services offered by Providers. Clients hire services at their own risk and responsibility.

In the event of disputes between Clients and Providers, INeedYou may — but is not obligated to — mediate or assist. Any resolution is the responsibility of the parties involved.

8. Prohibited Conduct

The following behaviors are strictly prohibited:

• Posting false, misleading, or fraudulent information.
• Using the platform for illegal or unauthorized activities.
• Harassing, threatening, or intimidating other users.
• Posting discriminatory, obscene, offensive, or inappropriate content.
• Attempting to circumvent the platform's subscription or payment system.
• Creating multiple accounts to evade suspensions or restrictions.
• Using the platform to directly compete with INeedYou or collect user data.
• Posting fake reviews or manipulating the rating system.
• Distributing spam, unsolicited advertising, or malicious links.
• Attempting unauthorized access to platform systems, accounts, or data.

9. User Content

You are solely responsible for the content you post on the platform (texts, images, files, messages, reviews). By posting content, you guarantee that you have the necessary rights to do so and that it does not violate third-party rights or applicable laws.

INeedYou reserves the right to remove any content that violates these Terms, without prior notice and without liability to the user.

By posting content, you grant INeedYou a non-exclusive, royalty-free, worldwide license to display such content on the platform for the sole purpose of operating the service.

10. Limitation of Liability

To the maximum extent permitted by law, INeedYou shall not be liable for:

• Direct, indirect, incidental, special, or consequential damages arising from the use of the platform.
• The conduct, actions, or omissions of Clients or Providers.
• The quality, safety, or legality of services offered by Providers.
• Payment disputes between Clients and Providers.
• Interruptions, errors, or technical failures of the platform.
• Loss of data, profits, or business.
• Physical, material, or personal damages resulting from services contracted through the platform.

INeedYou's total maximum liability for any claim shall not exceed the amount paid by the user to INeedYou in the 3 months prior to the event giving rise to the claim, or $100 USD, whichever is greater.

11. Indemnification

You agree to defend, indemnify, and hold harmless INeedYou, its directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including attorney's fees) arising from: (i) your use of the platform; (ii) violation of these Terms; (iii) services you offer or hire through the platform; (iv) any content you post.

12. Suspension & Termination

INeedYou reserves the right to suspend or terminate any account, with or without prior notice, in cases of:

• Violation of these Terms of Service.
• Conduct that causes harm to other users or the platform.
• Non-payment of subscription.
• Fraudulent or illegal activity.
• Fake reviews or manipulation of the rating system.

You may also cancel your account at any time from your profile settings or by contacting us. Upon cancellation, your profile will be deactivated at the end of the current billing period.

13. Dispute Resolution

These Terms are governed by the laws of the State of Texas, USA, without regard to its conflict of law provisions.

Any dispute arising in connection with these Terms or the use of the platform shall be resolved through binding arbitration in Denton County, Texas, in accordance with the rules of the American Arbitration Association (AAA), unless both parties agree to another mechanism.

The parties waive their right to jury trial or to participate in class action lawsuits in connection with the platform.

14. Changes to Terms

INeedYou reserves the right to modify these Terms at any time. When we make material changes, we will notify users by email or through a notice on the platform with at least 15 days' advance notice. Continued use of the platform after the effective date constitutes acceptance of the new Terms.
